You will not engage in any activity that conflicts with or adversely affect your performance of your duties under this agreement; accept any other employment, whether as an executive, as a consultant or in any other capacity, whether or not you are compensated therefore, or violate any of the policies described in companies then applicable policy manual.

Executive agrees that his employment with company is on an exclusive basis and that, while executive is employed by company, executive will not engage in any other business activity which is in conflict with executive’s duties and obligations (including executive’s commitment of time) under this agreement.
